American Realty Capital

American Realty Capital (ARC) decided to take the company public — a non-routine transaction that lent itself to complex accounting. Knowing the time involved to properly research and apply the complicated accounting rules, American Realty Capital knew it would be better to outsource such responsibilities to a firm that had the necessary experience and could complete the volume of work in a timely manner. Based on the recommendation of the firm’s auditor, a large international accounting firm, American Realty Capital asked Pine Hill Group to evaluate the proposed structure ARC was considering.

Pine Hill Group put its expertise to work by providing the most logical alternative structure—presenting to both management and the auditors to ensure they were on board with the ultimate decisions that were made. Pine Hill Group also interpreted what the SEC’s reaction to such a structure would be, and proactively prepared ARC for anticipated comments that might come back after the initial filing. The IPO went smoothly, ARC was satisfied and the client maintains that they will continue to work with Pine Hill Group and recommend the firm to others.
